These Terms of Service (“Terms”) govern access to and use of the Omni Forge SIS Student Information System (the “Product”), provided by Omni Forge LLC (“we”, “us”). By accessing the Product as a District (the school district that has executed a written agreement with us), a Staff User, a Student, or a Parent / Guardian, you agree to be bound by these Terms and by our Privacy Policy.
For Districts, the controlling agreement between Omni Forge LLC and the District (the “District Agreement”) takes precedence over these Terms where the two conflict. These Terms govern individual user access in addition to that Agreement.
Districts manage their own users and roles. Staff Users, Students, and Parents must keep their credentials confidential, use multi-factor authentication where the District has enabled it, and report suspected compromise to the District's administrator immediately. We are not liable for unauthorized access resulting from negligent credential handling by a user, but we will cooperate fully in incident response.

We log access attempts and may suspend or terminate access for any breach of this section. Districts will be notified of suspensions affecting their staff or students as soon as practicable.
As between us and a District, the District owns its data and education records. We process District data only on the District's instructions and in accordance with the District Agreement and our Privacy Policy. We do not sell, rent, or use District data for advertising or model training. We will return or delete District data at the District's request, on the schedule described in the Privacy Policy.
The Product includes AI-assisted features (report-card comment drafting, parent Q&A, nurse note expansion, document extraction, translation, and similar). AI output is generated by third-party language models acting as our subprocessor; it is not independently verified. AI output is intended as a draft for human review and must not be relied upon as a record of fact, a clinical diagnosis, a legal opinion, or a final education decision. Districts and Staff Users remain responsible for the content they ultimately publish or act upon.
We aim for high availability and will notify Districts of scheduled maintenance windows in advance. We do not guarantee uninterrupted or error-free operation. We may add, modify, or discontinue features; material reductions in functionality will be communicated to Districts at least 30 days in advance, except where immediate change is required by law or to address a security risk.
District subscription fees, payment terms, and renewal mechanics are set by the District Agreement. Individual Staff Users, Students, and Parents pay no fees to access the Product. The Product may also process student-fee payments collected by the District (lunch funds, activity fees, etc.); those payments are processed by Stripe under separate terms and are subject to the District's refund policy.
The Product, including its software, design, and documentation, is owned by Omni Forge LLC. The District Agreement grants the District a non-exclusive, non-transferable license to use the Product for its educational mission during the term of the agreement. No other rights are granted by these Terms.
Districts may terminate per the District Agreement. Individual user access may be revoked by the District (e.g., on departure of a staff member) or by us for breach of these Terms. On District termination, we will support the District in exporting its data and will delete production copies within 30 days of confirmed export, retaining only backup copies as described in the Privacy Policy.
EXCEPT AS EXPRESSLY STATED IN THE DISTRICT AGREEMENT, THE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT WHERE THE FOREGOING DISCLAIMER IS PROHIBITED BY APPLICABLE LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW AND EXCEPT AS EXPRESSLY ALLOCATED DIFFERENTLY IN THE DISTRICT AGREEMENT, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY THE RELEVANT DISTRICT TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. NOTHING IN THIS SECTION LIMITS LIABILITY FOR (a) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, (b) BREACH OF CONFIDENTIALITY OR DATA-PROTECTION OBLIGATIONS, OR (c) ANY LIABILITY THAT CANNOT BE LIMITED BY APPLICABLE LAW.
These Terms are governed by the laws of the State of [Governing-Law State to be confirmed], without regard to its conflict-of-laws principles. Any dispute will be brought in the state or federal courts located in [Venue County, State], and each party consents to personal jurisdiction in those courts. This section does not waive any right or remedy a District is required to retain by state procurement law.
We may update these Terms; the “Last updated” date at the top will change accordingly. Material changes will be communicated to Districts at least 30 days before they take effect, and continued use after that date constitutes acceptance.
